Collaboration agreement for the HeiaHeia Team service
Purpose
The Customer uses the Provider’s HeiaHeia service to promote employee wellbeing. The Customer's employees will have the opportunity to log in to the Provider’s HeiaHeia Team service. A closed HeiaHeia community will be created for the company, and administrative rights will be granted here.
Rights and Obligations Granted by the Parties
The Provider grants the Customer the right to use the HeiaHeia Team service to promote employee wellbeing.
Service Package Contents
- All features of the Free package
- Friend challenges, for example, within teams or among colleagues
- HeiaHeia community with teams (up to 25 users)
- HeiaHeia wellness points
- Six popular company-wide HeiaHeia challenge options
- One admin account (to start HeiaHeia challenges, generate reports, etc.)
Prices and Payment Terms
Subscription price: €324/year, up to 25 users.
Billing: The subscription is billed annually at the start of each subscription period. The prices do not include VAT or other applicable taxes. If necessary, local taxes will be added to the invoice. Payment terms are net 14 days.
Intellectual Property Rights
The Provider ensures that the service it delivers does not infringe on the rights of third parties. No intellectual property rights will be transferred from one party to the other under this agreement, except for the limited license to use the service during the agreement's term. Similarly, each party retains ownership of its trademarks, which may be used in the marketing of the Provider’s service. The use of the other party’s intellectual property must cease immediately upon the termination of this agreement.
Reference Rights
The Provider may use the Customer's name, logo, and a general description of this assignment as a reference. For clarity, the reference rights do not authorize the Provider to disclose any confidential information or materials obtained under this agreement to any third party.
Applicable Law and Dispute Resolution
This agreement is governed by Finnish law. The parties will seek to resolve any disputes through negotiation. If negotiations fail, disputes arising from this agreement will be settled in the Helsinki District Court.
Assignment and Amendments
Neither party may assign this agreement without the other party’s consent, except in connection with the transfer of the relevant business to the transferee. Notice of such a transfer must be provided to the other party in writing.
Terms of Use, Data Processing, and Privacy Policies
The general terms and conditions of the service are accepted upon login.
Validity and Termination
This agreement is continuous, meaning the service will automatically renew for another 12-month period unless it is canceled at least 1 month before the next period begins. A party may terminate this agreement with immediate effect if the other party materially breaches the agreement and does not rectify the breach within 1 month of receiving a written notice of termination for breach.
The first subscription period begins immediately after the service is activated (within 24 hours of the order).
